Pivotal Health Solutions is excited about the comprehensive line of
quality Brands that we have assembled in our portfolio consisting of
Eurotech Tables, ErgoStyle Tables, i-Trac Therapy, Custom Craftworks,
Touch Essentials, Valley Technology, VTI Products, SaniCover, Cloud 9
Medical Gel, Omni Cervical Pillows, Relax Right Pillows, and Lyflo
Select. We look to continue our tradition of producing innovative
products and services that meet or exceed our customers expectations
for quality, performance and cost effectiveness.
We have developed this policy to aid our partners in competing in
this tough market while continuing to aggressively pursue the
leadership position in the markets we serve. Our expectations are to
deal with partners that represent Pivotal Health Solutions in a manner
that supports joint goals and high values. Pivotal Health Solutions is
committed to helping you succeed in maximizing sales while
strengthening our brand positions in the market.
This policy statement issued by Pivotal Health Solutions including
any subsequent amendments, modifications or additions contains the
terms and conditions unilaterally established by Pivotal Health
Solutions upon which Pivotal Health Solutions sells its products in the
USA. Distributors that fail to adhere to this policy statement will
risk losing the ability to sell PHS products. This document supersedes
all other Distributors policy statements defining the relationship
between “Distributors” and Pivotal Health Solutions. The effective date
of this policy statement is January 1, 2010.
Our Distributors
All Pivotal Health Solutions authorized Distributors will have a signed
distribution terms agreement on file with Pivotal Health Solutions.
Authorized Distributors are permitted to sell products in the territory
that is designated in their distribution terms agreement. Pivotal
Health Solutions may limit what products a representative may sell.

Promotional Guidelines
All advertising and marketing collateral that contains reference to the
Pivotal Health Solutions brands, logos, images, trademarks and patents
used for promotion by the Distributors must, in any form, not infringe
upon the rights of Pivotal Health Solutions. Pivotal Health reserves
the right to patrol the access to any use of Pivotal Health Solutions
likenesses, images, business collateral, trademarks and patents
indefinitely.
Trademark and Patents
All patented Pivotal Health Solutions products must reference the
associated patent number in all marketing collateral for commercial
promotion. All Pivotal Health Solutions trademarked products must be
displayed with the appropriate trademark logo. Distributors may not
remove any labels, logos or product use information stickers that are
affixed to products.
Pivotal Health Solutions, Inc. U.S.A. Distributor Business Practices
All Distributors located in the United States of America must have a
valid Federal Employer Identification Number and/or Social Security
Number on file with the Internal Revenue Services as required by
Federal Law. All Distributors are responsible for remittance of all
taxes due to the tax authorities of every Federal, State and Local
jurisdiction in which the Distributor conducts business or is otherwise
specified to have nexus. Distributors are required to provide a valid
State sales tax resale certificate or exemption for each jurisdiction
in which the Distributor conducts business involving all Pivotal Health
Solutions Products.
Receipts and Maintenance of Credit Line
Pivotal Health Solutions reserves the right to withdraw any and all
credit terms extended to the Distributor and/or customer at any time.

Customer Service Responsibility
Distributors must maintain Pivotal Health Solutions quality and
excellent customer service and problem resolution, and in turn must
work as a liaison between Pivotal Health Solutions and the
Distributors’ end customer. Distributors are expected to have fully
trained staff that can effectively demonstrate and communicate the
Pivotal Health Solutions products in their intended use. Distributors
shall extend the same return and warranty policies as specified by
Pivotal Health Solutions to their end customer. Distributors of Pivotal
Health Solutions may not act or present themselves to customers as
agents or employees of Pivotal Health Solutions.
Wholesale Pricing and Shipping Charges
Pivotal Health Solutions sells our manufacturered products and
accessories to only authorized Distributors at Pivotal Health Solutions
current list price less an agreed to discount or at a wholesale price
not associated with a discount.
Shipping
All Pivotal Health Solutions products will be shipped to the
Distributors place of business, F.O.B. Watertown, South Dakota; Eugene,
Oregon; Lebanon, Missouri or Springfield, Missouri. However, upon
request, Pivotal Health may drop ship products. Please contact customer
service.
Product Defect Policy
Distributors shall notify Pivotal Health Solutions with in ten (10)
business days after receipt of any shipment shortages, damaged or
defected products. Failure to do so will constitute conclusive proof
that the products were in fact received without error, fault or damage.
Termination
Either party may terminate the relationship in compliance with the
distributor agreement. All rights to use Pivotal Health Solutions
Trademarks, Patents and marketing collateral materials shall cease upon
termination of the relationship. This policy has been adopted by
Pivotal Health Solutions. The only people authorized to answer
